This is a legal agreement.  We’ll start with the basics, including a few definitions that should help you understand this agreement. EmailSearchSocial.com (“EmailSearchSocial.com” or the “Service”) is an digital marketing service offered through the URL www.emailsearchsocial.com (we’ll refer to it as the “Website”) that allows EmailSearchSocial.com to create, deploy, and manage digital marketing campaigns (each message is called an “Email”) to our clients target recipients. EmailSearchSocial.com is a division CLRR Media LLC.  EmailSearchSocial.com, a division of CLRR Media, LLC, a Florida limited liability corporation (“EmailSearchSocial.com,” “we,” or “us”). EmailSearchSocial.com has employees, independent contractors, and representatives (“our Team”). As a client of our Service or a representative of an entity that’s a customer of the Service, you’re a “customer” according to this agreement (or “you”).  These Terms of Use (“Terms,” including but not limited to our Insertion Order, Digital Services Agreement Description, Privacy Policy, Acceptable Use Policy, API Guidelines, US CAN SPAM Guidelines, and Brand Guidelines) define the terms and conditions under which EmailSearchSocial.com is allowed to operate and how we’ll treat your account while you’re a Customer. This Digital Services Agreement below describers services of EmailSeachSocial.com, a division of CLRR Media LLC.

Access to our Company’s Virtual Lead Automation System, access to one website and/or landing page that includes our Company’s Virtual Lead Automation System with web hosting provided by our Company, and administer website as described below. Should client already have a satisfactory website, our Company shall embed our Company’s Virtual Lead Automation System scripting into Client’s current website and social media for a period of time in which Client maintains a customer relationship with our Company.

Digital Services Included but not limited to in our Agreement:

o Email Marketing – Create, Manage, Maintain, and Grow Internal Email Database of Client
o Search Engine Marketing - Promotion of website by increasing Client’s visibility in search engine results pages
o Social Media Marketing - Create, Manage, Maintain, and Grow Social Media Profiles
o Virtual Lead Automation CRM System - Proprietary Virtual Lead Automation CRM System

Design, Layout, and Implementation and Administration:

Our Company will embed the automation programming registration forms within the web pages provided by Client or created by our Company for the purpose of accumulating prospective and current customer contact information as entered into registration forms by website visitors or Client’s employees/agents and submit such contact information to specific databases created for the purpose of retaining such prospective and current customer contact information.

Our Company shall draft and create HTML emails to be directed to prospective and current customers to brand and promote Client’s business. Client acknowledges that specific design, layout, and implementation of all web pages, registration forms, programming, automation, and email letters is property of our Company. Our Company is only providing its use by Client for the period of time this agreement remains in effect by the parties as long as Client is in good standing with our Company.

The detailed design, layout and implementation of Internet Content approved by Client and in accord with this agreement shall at all times remain under the sole and exclusive control of the Company. Company agrees to put forth its best efforts to publish accurate content as provided by Client or Client’s employees/agents as not to intentionally damage the reputation of Client’s business in the community. All prospective and current customer contact information retained through registration forms shall at all times remain the property of the Client and at any time this agreement is terminated Client shall be entitled to receive a copy of all prospective and current customer contact information as long as Client is in good standing with Company with no outstanding invoices.

Digital Services Agreement Description

Term: This agreement, billed monthly, is in effect on a month-to-month basis and may be cancelled at any time with a 30-day written notice by either party. Monthly billing will be via automatic payment (Visa, MasterCard, American Express). Charges are made on the same day each billing cycle that the plan was originally created. A customer who subscribed to a monthly plan on the 20th will be billed on the 20th of each month. Upon termination of this agreement, our Company shall remove all proprietary automation programming features provided by our Company. Within 20 days of cancellation and payment in full of all fees due to our Company by Client, our Company will provide Client with an electronic file of all prospective and current customer contact information retrieved from database.

Fees: By submitting my Credit Card information on www.emailsearchsocial.com I hereby authorize EmailSearchSocial.com, a division of CLRR Media LLC, to charge the credit card referenced during website credit card submission, written contract, or verbally over the phone for payment of Internet Marketing Services. All sales and charges are final. Cost of this service shall include Marketing, Design, Publish, and Administer Website(s) and Virtual Consultant Automation System as described above. Customer agrees to abide by all the terms and conditions of this agreement, including its obligations to timely pay all fees as describer on this website, our agreement, and with the terms of service. We reserve the right to suspend all services without liability to the Customer until client is up to date with account payments and/or subscription payment plans. Customer accounts may be suspended if payment is more than 10 days late.

 SUBSCRIBER ACCOUNT PLANS

1. Eligibility 

In order to use EmailSearchSocial.com, you must:  be at least eighteen (18) years old and able to enter into contracts; complete the payment process; agree to our Terms; and provide true, complete, and up to date contact and billing information.  By using EmailSearchSocial.com, you represent and warrant that you meet all the requirements listed above, and that you won’t use EmailSearchSocial.com in a way that violates any laws or regulations. EmailSearchSocial.com may refuse service, suspend accounts, close accounts of any users, and change eligibility requirements at any time.

2. Term

The Term begins when you sign up for our Service and continues as long as you use the Service. Clicking the button and entering your true name and credit card information means that you’ve officially “signed” the Terms. If you sign up for EmailSearchSocial.com on behalf of a company or other entity, you represent and warrant that you have the authority to accept these Terms on their behalf.

3. Closing Your Account

You or EmailSearchSocial.com may terminate this Agreement at any time and for any reason by giving 30 day written email notice to the other party. We may suspend our Service to you at any time, with or without cause. If we terminate your Subscriber Account Plan without cause, we retain the right to hold back any refund or prorated portion of your monthly prepayment.  As our Services have set up costs we won’t refund or reimburse you if there’s cause, like a violation of these Terms or our Acceptable Use Policy. Once terminated, we may permanently delete your account and all the data associated with it, including your emails from our database.

4. Changes

We may change any of the Terms by posting revised Terms of Use on our Website and/or by sending an email to the last email address you gave us. Unless you terminate your account within ten (10) days, the new Terms will be effective immediately and apply to any continued or new use of EmailSearchSocial.com. We may change the Website, the Service, or any features of the Service at any time.

5. Account

You’ll immediately notify us of any unauthorized use of your accounts. We’re not responsible for any losses due to stolen or hacked EmailSearchSocial.com subscriber account plan passwords. We don’t have access to your current billing information on this website for security reasons, we may contact our credit card processing vendor.

6. Account Disputes

We don’t know the inner workings of your organization or the nature of your personal relationships, and we don’t arbitrate disputes over who owns an account. Whomever is the responsible paying party.  The information on the credit card being billed monthly is the account holder. We decide who owns an account based on the content of the emails in that account, and if multiple people or entities are identified in the content, then we’ll rely on the contact and billing information listed for that account.

PAYMENT

7. Monthly Plans

Our charges for monthly plans are posted on the pricing page on our Website and may be changed at any time.  A Term begins upon execution and/or digital submission of the agreement, then payment is due for the full month. Payments are due for any month on the same date, or the closest date in that month, to the day you signed up with us and made your first monthly payment (the “Monthly Pay Date”).  Charges are made on the same day each billing cycle that the plan was originally created.  A customer who subscribed to a monthly plan on the 20th will be billed on the 20th of each month.  Unless an issue with the billing process occurs.

8. Set Up Fee - 1x Payment of $199.00

You may use a coupon code or purchase a 6 month and 12 month plan to get your $199.00 Set Up Fee waived.  Set up Fees are required on month to month subscriber account plan services.  Instead of signing up for a month to month plan. If you choose a 6 month or 12 month plan, you’ll still be considered a client, and other than the 1x payment of $199.00 for the set up fee and the required 6 month or 12 month contracted term for payment reduction.  All the terms of this Agreement will still apply to you.

9. Credit Cards

As long as you’re a subscriber to a plan or have an outstanding balance with us, you’ll provide us with valid credit card information and authorize us to deduct the monthly charges against that credit card. You’ll replace the information for any credit card that expires with information for a different valid credit card. Anyone using a credit card represents and warrants that he or she is authorized to use that credit card, and that any and all charges may be billed to that credit card and won’t be rejected. If, for some reason, we’re unable to process your credit card order, we’ll try to contact you by email and suspend your account until your payment can be processed.

10. Refunds

We may offer a refund if a Member applies for one based on the requirements posted on the Website.  EmailSearchSocial.com retains all rights on the final decision.

11. Changes

We may change our fees at any time by posting a new pricing structure to our Website and/or sending you a notification by email.

RIGHTS

12. Proprietary Rights Owned by US

You shall respect our proprietary rights in the Website and the software used to provide Emailsearchsocial.com (proprietary rights include patents, trademarks, service marks, and copyrights). You may only use our Services, Reporting, Coding, and all Processes as you are a paid client.

13. Proprietary Rights Owned by You

You represent and warrant that you either own or have permission to use all of the material in your customer database including emails. You retain ownership of the materials you send to Us for our Service. We may use or disclose your materials only as we describe in these Terms and our Privacy Policy.

14. Privacy Policy

We may not sell, use and/or disclose any of your information according to our Privacy Policy. Our Privacy Policy will be treated as part of these Terms

15. Right to Review All Materials

We may view, copy, and internally distribute content from your Website, Social Media Account, Emails and account to create reports, algorithms, and ("Tools") that help us increase your conversion % rates.  We use these Tools to only improve the performance of our Service.
